Terms of Service

The short version: Use the API fairly, don't use it for illegal or harmful purposes, pay your bills on time. We provide the service as-is and are not liable for indirect damages. German law applies.

1. Acceptance

By accessing or using the Cheshir API and website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms form a legally binding agreement between you (or the entity you represent) and Cheshir ("we", "us", "our"). If you are accepting on behalf of a company or legal entity, you represent that you have authority to bind that entity.

2. Description of Service

Cheshir provides an OpenAI-compatible AI inference API powered by open-weight language models running on bare-metal infrastructure in Germany. The Service allows you to send text requests and receive AI-generated responses via HTTP API.

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with reasonable notice where possible.

5. Payment and Billing

Pay-as-you-go: Usage is billed based on token consumption at the rates displayed on our pricing page. You will be charged for all successful API responses.

Subscription plans: Monthly subscriptions are billed in advance. Unused tokens within a billing period do not roll over. Subscriptions renew automatically unless cancelled before the renewal date.

Payment: All payments are processed securely via our payment provider. We do not store payment card details.

Refunds: We do not offer refunds for prepaid credits or completed subscription periods, except where required by applicable law.

Overdue payments: We reserve the right to suspend access for accounts with overdue balances.

6. Rate Limits

We apply rate limits to ensure fair access for all users. Rate limits vary by plan and are communicated in our documentation. We reserve the right to adjust rate limits at any time.

7. Data and Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. By using the Service, you acknowledge that you have read and agree to our Privacy Policy.

You retain ownership of any content you submit to the Service. By submitting content, you grant us the limited, temporary right to process it solely for the purpose of providing the Service.

8. Intellectual Property

The Cheshir name, logo, and website design are our intellectual property. The underlying open-weight AI models are subject to their respective open-source licences (Meta Llama Community License, Qwen License, DeepSeek Model License). Your use of model outputs must comply with the applicable model licence.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

AI-generated outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and validating all outputs before use.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Cheshir shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business, arising out of or related to your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amounts paid by you to us in the three months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Cheshir from any claims, losses, damages, and expenses (including legal fees) arising from your use of the Service in violation of these Terms or applicable law.

12. Termination

Either party may terminate these Terms at any time. You may cancel your account by contacting us. We may terminate or suspend access at our discretion, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We may update these Terms at any time. We will notify active customers of material changes by email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Germany, unless mandatory consumer protection law in your country provides otherwise.
